Effective Date: These Terms become effective on the date you first access or use TMatch, or when you explicitly agree to them during account registration.

These Terms of Service (“Terms”) govern your use of TMatch, a service provided by Tmind AI Inc., doing business as TMind AI (“TMatch,” “we,” “us,” or “our”). By accessing or using TMatch, you agree to these Terms.

Nature of the Service

TMatch is a technology platform that helps individuals discover, match with, communicate with, and book mental health providers.

Providers listed on TMatch may include independently licensed providers and, where permitted and approved, supervised providers, students, trainees, or other professionals practicing under required supervision, practice-setting, or organizational authorization.

TMatch does not provide medical advice, diagnosis, therapy, treatment, crisis intervention, clinical supervision, payer services, insurance coverage, or emergency services. Any therapeutic or professional relationship exists solely between you and the provider you select or work with.

Providers are not employees, agents, clinical supervisors, or representatives of TMatch. TMatch does not direct a provider’s clinical judgment, determine whether a provider is clinically appropriate for you, or guarantee provider availability, outcomes, quality of care, insurance coverage, reimbursement, or payment.

Eligibility

You must be at least 18 years old to use TMatch. If you are under 18, you may use TMatch only with the involvement and consent of a parent or legal guardian, and only where permitted by applicable law.

You agree to provide accurate, current, and complete information and to keep your account credentials confidential. Matching quality depends on the information you choose to provide.

Provider Review and Profile Publication

Before a provider profile is published in the TMatch directory or made eligible for matching or booking, TMatch may perform a limited platform-eligibility review. This review may include provider-submitted information, licensure information, public licensing records, supervisor confirmations, organizational confirmations, or other verification materials.

Publication of a provider profile in the TMatch directory means only that TMatch reviewed the provider’s submitted information and approved the profile for platform participation as of the time of publication or most recent review. This review is not comprehensive credentialing, payer credentialing, background screening, accreditation, clinical supervision, or an endorsement of provider competency, quality of care, suitability for your needs, absence of disciplinary history, or legal eligibility to serve every client in every situation.

For supervised providers, students, trainees, or other providers practicing under supervision, the profile may indicate supervised status and identify the supervisor, practice, school, placement site, or authorized organization associated with the supervision arrangement. This information is based on materials available to TMatch and does not replace the provider’s, supervisor’s, or organization’s independent legal and professional responsibilities.

You are encouraged to independently verify a provider’s credentials through the relevant licensing board, supervisor, practice, school, placement site, or other appropriate organization.

Tracy and AI-Assisted Features

Tracy is TMatch’s AI-assisted matching, intake, navigation, booking, and follow-up functionality. Tracy may help collect your stated needs and preferences, organize information you provide, generate non-diagnostic summaries, suggest potentially compatible providers, and support administrative steps.

Tracy is not a human, therapist, physician, nurse, licensed case manager, clinical supervisor, crisis service, or emergency service. Tracy does not provide diagnosis, treatment, medical advice, legal advice, clinical judgment, crisis intervention, or a guarantee that a match is appropriate or successful.

AI-generated content may be incomplete, inaccurate, or based on limited information. You and your provider are responsible for reviewing and verifying relevant information.

Emergency Disclaimer

TMatch and Tracy are not designed for emergencies or crisis support. If you are experiencing a mental health emergency, are in immediate danger, or may harm yourself or others, call 911 or call/text 988, the Suicide & Crisis Lifeline in the United States. Do not rely on TMatch or Tracy for crisis support.

Booking, Payment, Insurance, and EAP

Providers set or approve their own rates, availability, session durations, services, and accepted payment arrangements.

For self-pay sessions booked through TMatch, payment may be processed through TMatch’s designated payment processor. The checkout flow will disclose the applicable amount and timing of any authorization or charge before you confirm the booking. Payment processing may be subject to separate processor terms.

For insurance or Employee Assistance Program (“EAP”) appointments, unless TMatch clearly states otherwise in a separate written agreement, TMatch does not verify eligibility or benefits, determine coverage, calculate your cost sharing, obtain payer authorization, submit claims, perform payer credentialing, appeal denials, collect payer reimbursement, or guarantee insurance or EAP payment. Your provider or the applicable billing entity is responsible for insurance and EAP billing, including copays, deductibles, coinsurance, denials, refunds, overpayments, and required financial notices.

Unless TMatch clearly states otherwise, the platform does not support out-of-network benefit verification, out-of-network claim submission, or superbill generation.

Cancellation, No-Show, Refunds, and Disputes

For self-pay sessions processed through TMatch, unless a different policy is clearly disclosed at booking, you may cancel or reschedule at least 24 hours before the scheduled start time for a full refund.

If you cancel less than 24 hours before the scheduled start time, or if you do not attend the session, the session fee may be non-refundable and may be paid to the provider or applicable payout recipient.

TMatch may review exceptions, including platform technical failures, provider no-shows, duplicate charges, fraud, emergencies, payment disputes, chargebacks, safety concerns, or other circumstances required by law or disclosed by TMatch.

For insurance or EAP appointments, cancellation, no-show, copay, deductible, coinsurance, and other financial-responsibility rules are handled by your provider or the applicable billing entity, subject to their policies, payer rules, and applicable law.

Disputes about clinical quality, treatment decisions, professional services, or the provider-client relationship should be addressed directly with the provider, subject to applicable law and professional requirements.

Appropriate Use

You agree not to misuse TMatch, Tracy, provider information, or platform features. You may not harass, threaten, deceive, impersonate others, submit false information, attempt unauthorized access, disrupt the platform, scrape data, use client or provider information for unauthorized purposes, or use the platform in a way that creates safety, privacy, legal, financial, or reputational risk.

TMatch may suspend, limit, or terminate access if we reasonably believe these Terms or applicable policies have been violated, or if continued access may create risk to users, providers, TMatch, or third parties.

Privacy

Our collection, use, and sharing of personal information and health-related information is described in our Privacy Policy and, where applicable, HIPAA-related notices or agreements.

Service Changes

TMatch may update, test, limit, suspend, or discontinue features, including Tracy and other AI-assisted features. We may update these Terms from time to time. Continued use of TMatch after updates become effective means you accept the updated Terms.

Limitation of Liability

To the fullest extent permitted by law, TMatch and TMind AI are not liable for damages arising from your use of the platform, AI-generated content, provider information, profile review or publication, matching results, booking availability, payment processing, cancellation or refund decisions, insurance or EAP matters, or professional services provided by providers.

TMatch does not guarantee provider availability, provider suitability, clinical outcomes, insurance coverage, reimbursement, or uninterrupted platform operation.

Governing Law

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles, except where applicable law requires otherwise.
